TRULIEVE ANNOUNCES COMPLETION OF REDEMPTION OF ALL US$130 MILLION 9.75% SENIOR SECURED NOTES DUE 2024

TALLAHASSEE, Fla., December 1, 2023  — Trulieve Cannabis Corp. (CSE: TRUL) (OTCQX: TCNNF) (“Trulieve” or “the Company”), a leading and top-performing cannabis company in the U.S., today announced that it has completed the redemption of all US$130,000,000 (Cdn$175,669,000) principal amount of its outstanding 9.75% senior secured notes due 2024 (CUSIP: 89788CAB0 / ISIN: CA89788CAB06) (the “Notes”). Cash used for the redemption was approximately US$136 million (Cdn$184 million), which included the aggregate principal amount of the Notes being redeemed, plus accrued and unpaid interest to, but excluding, the redemption date of December 1, 2023. The Notes will cease to trade on the Canadian Securities Exchange under the symbol “TRUL.DB.U” as of the close of trading on December 1, 2023 and will be delisted as of December 1, 2023.  Additional information regarding the redemption of the Notes is available from Odyssey Trust Co.

Q3 Revenue up 14% YoY to a Record $25.3 Million –

Q3 Cash from Operations increased 32% to a Record $7.1 Million;
8th Consecutive Quarter of Positive Cash Flow 

TAMPA, Fla., Nov. 29, 2023  — Cansortium Inc. (CSE: TIUM.U) (OTCQB: CNTMF) (“Cansortium” or the “Company”), a vertically-integrated, multi-state cannabis company operating under the FLUENT™ brand, today announced financial and operating results for the third quarter ended September 30, 2023. Unless otherwise indicated, all financial results are presented in U.S. dollars.

“We generated record revenue and cash flow generation during the third quarter as we continued to execute on our growth objectives despite a seasonally slow period in Florida,” said CEO Robert Beasley. “Adjusted EBITDA was offset by increased headcount to keep pace with new store openings, however these investments are critical in laying the foundation for growth and supporting our future plans.

“In Florida, we continue to ramp our four new stores opened this year while driving cultivation improvements, leading to production of more high quality, high THC products. Although the third quarter is generally the most challenging period of the year in Florida, these operating improvements have enabled us to command higher retail prices and partially offset lower volumes from the summer months in Florida.

New location marks the company’s 61st Florida dispensary

RED WHITE & BLOOM REPORTS RESULTS FOR THE THREE AND NINE MONTHS ENDED SEPTEMBER 30, 2023

TORONTO, Nov. 29, 2023 — Red White & Bloom Brands Inc. 2023-Q3 Financial Highlights

-Revenues were $20.1 million for the quarter ended September 30, 2023 (“2023-Q3”) and $69.1 million for the first nine months of fiscal 2023 (“2023-YTD”).
-Gross profit, before fair value adjustments, was $7.9 million for 2023-Q3, or 39% of 2023-Q3 revenues reflecting a $1.0 million increase compared to $6.9 million for the quarter ended June 30, 2023 (“2023-Q2”) and a $1.8 million decrease compared to $9.7 million or 37.9% of revenues for the quarter ended September 30, 2022 (“2022-Q3”).
-Gross profit for 2023-YTD was $21.1 million or 31% of 2023-YTD revenues compared to gross profit of $20.8 million or 26% of 2022-YTD. revenues.
-General and administrative expenses, inclusive of business transaction costs of $0.5 million, for 2023-Q3 were $6.4 million versus $7.3 million for 2023-Q2, representing a decrease of $0.9 million.
-Operating expenses were $8.4 million for 2023-Q3, a decrease of $1.6 million compared to 2022-Q3 operating expenses of $10.0 million. -Operating expenses were $29.1 million for 2023-YTD, a decrease of $5.5 million compared to 2022-YTD operating expenses of $34.6 million.
-Adjusted EBITDA (2) for 2023-Q3 was $1.6 million, representing an increase of $1.3 million from 2023-Q2. Adjusted EBITDA for 2023-YTD was $2.3 million representing an increase of $0.6 million from 2022-YTD Adjusted EBITDA of $1.7 million.

CRONOS GROUP INC. ENTERS INTO AGREEMENT FOR THE SALE-LEASEBACK OF ITS STAYNER, ONTARIO FACILITY

TORONTO, Nov. 27, 2023  — Cronos Group Inc. (NASDAQ: CRON) (TSX: CRON) (“Cronos” or the “Company”) today announced that its wholly owned subsidiary entered into an agreement (the “Sale Agreement”) with Future Farmco Canada Inc. (the “Buyer”), a vertical farming company, for the sale and leaseback of its property located at 4491 Concession 12 Sunnidale Road, Stayner, Ontario, Canada, L0M 1S0 (the “Peace Naturals Campus”). Pursuant to the terms of the Sale Agreement, the Buyer has agreed to acquire the Peace Naturals Campus for C$23 million cash, subject to the terms and conditions set forth therein. The parties also plan to enter into a lease agreement upon closing for portions of the Peace Naturals Campus, ensuring continued operations.

“The sale-leaseback of the Peace Naturals Campus supports Cronos’ goal to reduce costs across the Company,” said Mike Gorenstein, Chairman, President and CEO, Cronos. “More specifically, this sale will aid in improving the gross margin profile of our business, while lowering costs and increasing our agility. SMITHS FALLS, ON – December 1, 2023 – Canopy Growth Corporation (“Canopy Growth” or the “Company”) (TSX: WEED) (NASDAQ: CGC) today provided an update that pursuant to the proceedings under the Companies’ Creditors Arrangement Act (the “CCAA”) involving BioSteel Sports Nutrition Inc. (“BioSteel Canada”), that two sale transactions transferring the assets of BioSteel Canada and BioSteel Manufacturing, LLC (“BioSteel Manufacturing”) have been completed for aggregate gross proceeds of $30.4 million.

Pursuant to the CCAA court-ordered sale and investment solicitation process, a sale of substantially all of the assets of BioSteel Canada to the Coachwood Group as contemplated by an asset purchase agreement dated November 9, 2023, and a sale of all or substantially all of the assets of BioSteel Manufacturing to another third party as contemplated by an asset purchase agreement dated November 9, 2023, have been completed. A portion of proceeds realized from the two transactions will be used to repay debt, which is expected to further reduce interest expense.

Join clinician Shari B. Kaplan, LCSW for a two- day CME accredited workshop providing an in-depth approach to best practices for integrative mental health. Kaplan will educate on her integrative approach from assessments, treatment plans and process. She begins with a thorough psychosocial assessment (this includes Bio-psychosocial assessment, family attachments/dynamics, medical history, spiritual beliefs, exercise, nutrition, relationships, strengths/deficits) to have an in depth understanding of patient, prepare for treatment and create treatment goals.  

 

She will share when and how to use plant medicine and cannabis as natural approaches in treatment both with and without conventional medicine. Kaplan will demonstrate techniques for applying focused work using modalities like EMDR, IFS, ego state work, CBT and Functional Spirituality. (EMDR & IFS are demonstrated in how they are applied).  

 

Attendees will learn strategies in the 'process phase' on teaching self-regulation, behavior change skills to assist patients in their daily lives and how to interweave movement & music. Kaplan will additionally explore ways to leverage microdosing of cannabis and other plant medicine, alongside with lifestyle changes, and adjunctive therapies (nutrition, exercise, meditation, mindfulness, breath work, acupuncture/body work) to maintain therapeutic momentum during and outside of treatment, assisting patients in improving the quality of their lives. This dynamic workshop provides clinicians with an integrative mental health approach to treatment. Both with and without psychedelic assisted therapy.
