Grand opening celebrations at all four locations Friday, September 6th

Mint Cannabis and Shango Joint Venture Enters Into Definitives for the Acquisition of the Cannabist Company’s Florida Entity
SEPTEMBER 3, 2024 – TEMPE, Ariz.–(BUSINESS WIRE)–Leading private multi-state operators MINT Cannabis (“MINT”) and Shango (“SHANGO”) announced today that they have, through a joint venture (the “MINT SHANGO JV”), entered into a definitive agreement to acquire all membership interests in The Cannabist Company Holdings Inc.’s (“The Cannabist Company”) (Cboe CA: CBST) (OTCQX: CBSTF) (FSE: 3LP) Florida subsidiary. This acquisition of a dominant operational Florida vertical is anticipated to provide immediate scale for the MINT SHANGO JV in this state through 14 dispensary locations, two cultivation and manufacturing facilities, all inventory, and its MMTC license (the “MINT/SHANGO Transaction”) for total consideration of $5M. As part of the MINT/SHANGO Transaction, the MINT/SHANGO JV will retain its existing indoor cultivation facility, and The Cannabist Company has separately divested its Lakeland facility. Additionally, the MINT SHANGO JV has also entered into an agreement to transfer to The Cannabist Company all of the outstanding equity interests in its existing MMTC license holder which they plan to divest upon close.
MINT and SHANGO are looking forward to launching their inaugural joint venture in the highly populated state of Florida, expanding their respective multi-state footprints. The MINT SHANGO JV expects to deploy the collective strengths of each operator to provide a leading consumer experience. MINT intends to focus its retail prowess on driving operational excellence in the 14 Cannabist dispensaries, while furthering its organic expansion efforts by securing prime real estate locations in underserved cities across Florida. MINT brings best-in-class retail expertise from its Arizona headquarters to the Florida market. Post-closing, the Cannabist dispensaries are anticipated to be rebranded and operated under the banner “MINT Dispensary.” During the next 18 months, the MINT SHANGO JV has plans to scale its Florida operations to 35 MINT-branded dispensaries.

DEA Throws a Curveball, Pushing Back Rescheduling Hearing Until After the Election: Viridian Insights of the Week
August 28, 2024- The DEA has scheduled a hearing for December 2 to consider differing expert opinions regarding rescheduling of cannabis to schedule 3. The DEA said that there were a number of requests for the hearing from both supporters and opponents or for rescheduling.
The cannabis equity market lurched violently downward on the news as it clearly pushed the issuance of final rule-making to after the election and probably into Spring 2025. The MSOS ETF closed down 13.35% to $6.10 on Tuesday, August 27.
The panic is overblown. We were never convinced of the rapid deployment of S3 and have always believed that the old Shakespearian line “Many a slip twixt the cup and the lip” applied in triplicate to anything occurring in Washington, D.C., especially as it relates to cannabis. The reaction stems from fear that if Trump wins the election, he may not choose to continue down the rescheduling track. These fears are not based on logic. Trump has proven to be an advocate of states’ rights, and cannabis is the ultimate states’ rights issue. We admit we are a bit perplexed about why he hasn’t seized the issue to his benefit. One would think it would be relatively easy to campaign against the inability of the Democratic party to make any progress on cannabis legislation or regulation in the time they have been in control.
Perhaps a more rational fear is that if the S3 ruling doesn’t happen until 2025, which now seems likely, will companies no longer be able to recoup 280e taxes for 2024? In September 2023, we estimated that the top ten companies would save around $700M annually from S3. Those companies now have an aggregate market cap of about $11.0B. On that basis, a one-year delay in S3 implementation should be worth around 6% of the market cap.

Cannabis and hallucinogen use among adults remained at historic highs in 2023
Vaping among younger adults and binge drinking among mid-life adults also maintained historically high levels, NIH-supported study shows.
AUGUST 29, 2024 – Past-year use of cannabis and hallucinogens stayed at historically high levels in 2023 among adults aged 19 to 30 and 35 to 50, according to the latest findings(link is external) from the Monitoring the Future survey(link is external). In contrast, past-year use of cigarettes remained at historically low levels in both adult groups. Past-month and daily alcohol use continued a decade-long decline among those 19 to 30 years old, with binge drinking reaching all-time lows. However, among 35- to 50-year-olds, the prevalence of binge drinking in 2023 increased from five and 10 years ago. The Monitoring the Future study is conducted by scientists at the University of Michigan’s Institute for Social Research, Ann Arbor, and is funded by the National Institutes of Health.
Reports of vaping nicotine or vaping cannabis in the past year among adults 19 to 30 rose over five years, and both trends remained at record highs in 2023. Among adults 35 to 50, the prevalences of nicotine vaping and of cannabis vaping stayed steady from the year before, with long-term (five and 10 year) trends not yet observable in this age group as this question was added to the survey for this age group in 2019.
For the first time in 2023, 19- to 30-year-old female respondents reported a higher prevalence of past-year cannabis use than male respondents in the same age group, reflecting a reversal of the gap between sexes. Conversely, male respondents 35 to 50 years old maintained a higher prevalence of past-year cannabis use than female respondents of the same age group, consistent with what’s been observed for the past decade.
