Curaleaf Announces Executive Automatic Securities Disposition Plan
Jan. 2, 2026 — Curaleaf Holdings, Inc. (TSX: CURA / OTCQX: CURLF) (“Curaleaf” or the “Company”), a leading international provider of consumer cannabis products, today announced that effective as of December 31, 2025, Mr. Peter Clateman, the Company’s Chief Legal Officer, has established an automatic securities disposition plan (“ASDP“) in accordance with applicable United States and Canadian securities legislation and the Company’s trading policies. The ASDP will allow for an orderly exercise of options set to expire in July 2027, and the sale of a portion of the acquired subordinate voting shares in the Company (the “Subordinate Voting Shares”) currently owned by Mr. Clateman to cover anticipated taxes. The Subordinate Voting Shares will be sold at prevailing market prices, and sales may commence on April 2, 2026 and continue over the course of a three-month period.
Under United States and Canadian securities laws and the Company’s trading policies, insiders of Curaleaf are subject to limits on their ability to sell shares in the Company. ASDPs address this issue by permitting trades to be made in accordance with pre-arranged instructions given when executives are not in possession of any material undisclosed information. Canadian securities laws permit insiders to adopt ASDPs to sell, donate or otherwise transfer shares in the future in accordance with the pre-arranged terms of their ASDP, on an automatic basis, regardless of any subsequent material non-public information they receive. Once an ASDP is established, the insider is not permitted to exercise any further discretion or influence over how dispositions will occur under the ASDP.

FLUENT Corp. Announces Sale of Pennsylvania Operations Strengthening Balance Sheet and Sharpening Focus on Core Growth Markets
Dec. 31, 2025 — FLUENT Corp. (CSE: FNT.U) (OTCQB: CNTMF) (“FLUENT” or the “Company”), today announced that it has completed the sale of its Pennsylvania operations to HIVE Holdings, Inc., effective December 31, 2025 for US$12.5 million in cash.
The proceeds from the transaction were used to reduce FLUENT’s outstanding debt, which is expected to meaningfully enhance its balance sheet, allowing the Company to further concentrate capital and operational resources on its core growth markets. The Company is at arms -length from HIVE Holdings, Inc and no finders’ fees are payable in connection with the sale.

Viridian Chart of the Week: Will Rescheduling Lead to More U.S. Cultivation & Retail Sector M&A?
The Viridian Chart of the Week looks at M&A consideration for transactions in which the target company was a member of the U.S. Cultivation & Retail Sector, and where the breakdown of consideration was disclosed. Note that many transactions targeted at private companies do not disclose either transaction amounts or the full breakdown of consideration. |
Several things about the chart are notable:
The use of stock compensation has increased dramatically. Most of this is attributable to Vireo Growth (VREO: CSE), which completed 6 transactions in 2025, all of which were largely equity-based. While concerns about dilution constrained other companies, VIREO has taken a longer view, rolling up operations in mature states like Colorado and Nevada and establishing beachheads in Missouri and Utah. The secret sauce seems simple: you can afford to be patient if you pay low entry multiples and avoid the pressure of massive debt service. The Company’s latest deal, EAZE, takes the Company into California, a state virtually devoid of MSO presence.
The amount of cash in 2025 transactions hit a low point, at less than 2% of total consideration, on the deals for which we have solid data. The reason is clear: the capital crunch was still in full force in 2025, and over 90% of all sector capital raises were in the form of debt. The cannabis equity market was virtually closed for most of the year. How will Rescheduling Change the picture?
Increased Stock prices will enable other companies to use stock as consideration for M&A deals. We have not seen much of an increase in stock prices yet, but we view this as largely due to healthy market skepticism about the timing and details of S3. Investors have heard rescheduling and other reforms, like SAFER, proposed too many times but left incomplete. We believe this time is different. We would not be surprised to see stocks bounce by nearly 100%, while leaving valuation multiples at reasonable levels.
S3 will foster the trend towards intrastate consolidation. The ongoing consolidation in states like Colorado and Missouri will continue as operators pursue depth in existing markets. Much of this consolidation will be directed toward acquiring additional retail locations. S3 will reduce the cost of capital, increasing the perceived NPV of transactions. We are likely to see new players completing deals. On Friday, market rumors swirled about a soon-to-be-announced transaction in the brand space. Will this be a merger of significant brands for product line extension? Or could it be a deal where a brand enters new markets through a merger with an MSO? We are anxious to see!
Will S3 bring more cash into M&A deals? Maybe, but at a lag. S3 is likely to increase equity issuance, but some of this will initially be targeted towards balance sheet repair. S3 will increase debt capacity, which may allow for more cash in deals. S3 by itself will not drastically increase the inflow of investor dollars into Cannabis. It will require a version of SAFER to spur a significant inflow of institutional capital. The good news is that we think completing S3 will increase the odds of further reform.
We believe Rescheduling will both spur and coincide with a meaningful increase in M&A activity in 2026. |

TerrAscend Increases Retail Footprint in New Jersey with Closing of Union Chill Dispensary Transaction
Expands New Jersey retail footprint to four dispensaries

TORONTO, Dec. 30, 2025 — TerrAscend Corp. (the “Company”) (TSX: TSND) (OTCQX: TSNDF), a leading North American cannabis company, today announced that its consolidated entities (“TerrAscend”) closed on the previously announced transaction with Union Chill Cannabis Company LLC (“Union Chill”), a high-performing dispensary in Hunterdon County. The transaction expands TerrAscend’s retail footprint to four dispensaries in New Jersey and is expected to be immediately accretive to EBITDA and cashflow.
In May 2025, TerrAscend signed an agreement with Union Chill for total consideration of $13 million consisting of $9 million in the form of convertible notes bearing interest at 6.5% for an option to purchase 35% of Union Chill (“Option”) and $4 million in cash upon the exercise of the Option. The transaction conforms to New Jersey’s regulatory framework, which facilitates investment opportunities for diversely owned businesses. Upon exercise of the Option and additional conditions, the transaction will allow the Company to fully consolidate the business in its financial results and increase TerrAscend’s consolidated retail footprint to a total of 20 dispensaries across five U.S. states and Canada.
