Red White & Bloom Files 2025 Interim Financial Statements

Verano Secures US $75,000,000 Revolving Credit Facility

Company draws US $50,000,000 to retire US $50,000,000 of its existing senior secured credit facility

CHICAGO, Oct. 01, 2025 — Verano Holdings Corp. (Cboe CA: VRNO) (OTCQX: VRNOF) (“Verano” or the “Company”), a leading multi-state cannabis company, today announced the closing of a credit agreement agented by Chicago Atlantic Admin, LLC, with participation from a regional bank, to provide the Company a revolving credit facility (the “Revolver”) of US $75,000,000. Upon closing the Revolver, the Company drew US $50,000,000 to pay down US $50,000,000 of higher interest rate debt from its existing senior secured credit facility without incurring any prepayment penalty, with the remaining US $25,000,000 being available to fund strategic initiatives.

The Revolver, which is secured by selected real estate, provides Verano a range of benefits including lower cost debt, payoff and redraw flexibility, and optionality to have certain real estate released as collateral under the Revolver.

Verano Provides Update on the Canadian Postal Strike, the Company’s Special Meeting Materials and Voting Instructions

CHICAGO, Oct. 06, 2025  — Verano Holdings Corp. (Cboe CA: VRNO) (OTCQX: VRNOF) (“Verano” or the “Company”), a leading multi-state cannabis company, is advising shareholders that due to the ongoing Canadian postal strike, the Company’s meeting materials (the “Meeting Materials”) for the Company’s upcoming special meeting to be held on October 27, 2025 at 9:30 a.m. (CDT), may not be delivered to all shareholders prior to the meeting date.

The Meeting Materials may be accessed on the Company’s SEDAR+ profile at www.sedarplus.ca, on its EDGAR profile at www.sec.gov and are also available on its website at https://investors.verano.com/events-presentations/events.

The Company is working to mail the Meeting Materials in the normal course, but due to the postal strike in Canada, there can be no assurance that the Meeting Materials will be delivered to all shareholders’ respective addresses prior to the Meeting.

In light of the Canadian postal strike, shareholders should cast their vote online and not send their proxy by mail. In the event a shareholder received the Meeting Materials and mailed their vote, the Company asks that shareholders recast their votes online to ensure their voting instructions are received in a timely manner. Notwithstanding the proxy cut-off time stated in the Meeting Materials, the Company will accept votes submitted by proxy until at least 9:30 a.m. Central Time on October 24, 2025. Beneficial shareholders should submit their votes at least 24 hours before the proxy cut-off time.

The ongoing cannabis worker strikes in Michigan and Pennsylvania represent the longest work stoppages in U.S. cannabis history, surpassing a previous 13-day record from 2023.

In Michigan, four employees at Exclusive Brands have been on strike since August 28 over the company’s refusal to recognize the results of a union election. Despite the operator’s social equity branding, the company remains open, with claims of over 200 workers on the job.

In Pennsylvania, eight unionized workers at Gren Thumb’s RISE dispensary in York have been on strike since September 1, demanding a starting wage of $18/hour (up from $16-17.65) and better benefits after stalled contract talks.

It’s hard not to sympathize with the plight of entry-level cannabis workers.
Paying for their participation in an industry they are devoted to with low wages and little job security. But these workers are also up against powerful industry forces. The two settings of Michigan and Pennsylvania could not be more different in key ways that impact the strikers’ negotiating power.

Michigan workers are battling state conditions as much as their employer. Wide-open licensing has led to an explosion in cultivation capacity and the number of stores. Michigan’s 840 dispensaries represent 11.1 stores per 100k adults, higher than any other top ten market except Colorado. Sales per dispensary average only $4M per year, a level that is suboptimal for operating profitability. Market pricing reflects this overcapacity. The average retail price for September 2025 is less than $1,000 per pound. The bottom line is that Michigan operators have limited options; many are struggling to make ends meet. And things might be getting worse; the Michigan legislature has just passed a 24% wholesale tax that, if not reversed, is likely to reduce cross-border traffic to Michigan stores and drive sales back to the illicit market. MSOs are generally absent from the market, and only around 2% of retail stores are now operated by MSOs

Things could not be more different in Pennsylvania. PA is a tightly regulated medical state with only 191 dispensaries, averaging around $10 million in revenues. Retail prices have decreased slightly, but they remain attractive at around $3,400 per pound. MSOs are more dominant IN PA than in any other state we can point to, with over 81% of the stores operated by MSOs. The state is doing well and looks to gain another bump in revenues and profits if plans to go adult rec materialize. Workers here are striking against power rather than economics. Big MJSOs don’t want to give concessions in PA because they fear they will face similar demands in all their other markets. But it’s not that they couldn’t afford to raise workers’ wages a bit; it’s more that they don’t feel that they need to.

The cannabis industry is in a strange situation. Their customers are increasingly saying that their budgets are strained, and increasingly, they are hearing that from their own employees.

Cleveland Clinic Study Demonstrates Safety, Effectiveness of Ketamine for Chronic Pain

Low-dose infusions show significant improvement for patients, in one of the largest studies of its kind

October 6, 2025 – Low-dose ketamine infusions are both safe and significantly effective for patients with chronic pain, according to one of the largest real-world studies of its kind published today in Regional Anesthesia & Pain Medicine.

Led by researchers at Cleveland Clinic’s Neurological and Primary Care Institutes, the study analyzed data from over 1,000 patients, providing crucial evidence for this emerging treatment approach.

“We know millions of Americans are suffering from chronic pain and this research addresses critical gaps in pain management and shows a significant step forward in improving care for those patients who have otherwise exhausted all other treatment options,” said Pavan Tankha, D.O., medical director of Comprehensive Pain Recovery in Cleveland Clinic’s Neurological Institute. “The findings of the research represent a meaningful step toward improved quality of life and may accelerate access to this treatment option for patients all over the country.”

The retrospective study followed 1,034 patients through a standardized ketamine infusion protocol – 0.5 mg/kg over 40 minutes for five consecutive days – and demonstrated an 86.1% adherence rate, underscoring the feasibility of outpatient administration.
