Trulieve Announces Closing of US$60 Million Private Placement of 10.5% Senior Secured Notes

Jan. 29, 2026  — Trulieve Cannabis Corp. (CSE: TRUL) (OTCQX: TCNNF) (“Trulieve” or “the Company”), a leading and top-performing cannabis company in the U.S., today announced that, further to its December 17, 2025 news release, it has closed a second tranche of its previously announced private placement of 10.5% Senior Secured Notes due 2030 (the “Notes”) in the principal amount of US$60.0 million (the “Offering”). Together with the first offering of Notes, which closed on December 17, 2025, Trulieve has issued Notes in the aggregate principal amount of US$200.0 million. The Notes were issued at a price of US$1,000 plus accrued but unpaid interest from December 17, 2025 to January 29, 2026 in the amount of US$12.37 per US$1,000 principal of Notes, and have the same terms as those issued on December 17, 2025.

The Offering was conducted on a “best-efforts” basis pursuant to the terms of an agency agreement, between the Company and Canaccord Genuity Corp., as sole agent and sole bookrunner. The Company will make the required filings to list the Notes on the Canadian Securities Exchange (the “CSE”) following the expiry of the four-month Canadian statutory hold period.

The Cannabist Company Enters Into Forbearance Agreement With Senior Secured Noteholders

Jan. 30, 2026– The Cannabist Company Holdings Inc. (Cboe CA: CBST) (OTCQB: CBSTF) (“The Cannabist Company” or “the Company”), one of the most experienced cultivators, manufacturers and retailers of cannabis products in the United States, today announced that it has entered into a forbearance agreement (the “Forbearance Agreement”), with an ad hoc group of noteholders (the “Forbearing Noteholders”) of the Company’s 9.25% Senior Secured Notes due December 31, 2028 (the “9.25% Senior Secured Notes”) and the 9.00% Senior Secured Convertible Notes due December 31, 2028 (the “9.00% Senior Secured Convertible Notes” and together with the 9.25% Senior Secured Notes, the “Notes”). The Forbearing Noteholders collectively hold more than 75% of the aggregate principal amount of Notes outstanding.

On December 31, 2025, the Company elected not to make the interest payments due on the Notes (the “December 31 Interest Payments”) under the amended and restated indenture, as supplemented, governing the Notes (the “Indenture”) to enhance its short-term financial flexibility and preserve liquidity as it continues to evaluate strategic alternatives following the recent announcement of the sale of its Virginia assets to an affiliate of Millstreet Credit Fund LP. The failure to make the December 31 Interest Payments on the due date did not constitute an event of default under the Indenture. However, the non-payment of the December 31 Interest Payments during the 30-day grace period under the Indenture constitutes an event of default.

Viridian Capital Chart of the Week: Does the Lack of Trading Liquidity Inhibit Capital Inflows to Cannabis?

The Viridian Chart of the Week shows the average daily dollar trading volume for twelve of the largest U.S. MSOs and five of the largest Canadian LPs over the last 180 days, the approximate time frame since Trump announced he would have a rescheduling answer in the next “several weeks.”

 

The blue bars represent volume on Canadian exchanges, while the orange bars represent volume on U.S. exchanges. The group’s average total dollar trading volume is up 53% to $28.5M for the six months ended 1/23/26, compared to the same period in the previous year.

 

The green line on the chart shows the market cap divided by the average daily dollar volume, or the number of days it would take to trade the company’s market cap (DTTMC). This measure puts trading volume on a common scale that normalizes for the significant differences in scale between the companies.

 

The largest dollar volume U.S. traders, Green Thumb (GTII: CSE)(GTBIF: OTCQX), Curaleaf (CURLF: OTCQX)(CURA: TSX), and Trulieve (TRUL: CSE)(TCNNF: OTCQX), traded between $7M and $8M per day, similar to the lowest volume Canadian traders Cronos (CRON: Nasdaq)(CRON: TSX) and SNDL (SNDL: Nasdaq)(SNDL: OTCQX). However, Green Thumb, Curaleaf, and Trulieve would require 301, 345, and 225 days, respectively, to trade their market caps, whereas Cronos and SNDL would require only 147 and 58 days, respectively.

 

Why does trading liquidity matter for capital formation?

 

Imagine you are an investor with a 5% position in a U.S. company like Green Thumb with 301 days to trade the market cap, and you want to trade out of your position. Assuming you wanted to keep your trading to less than 25% of the average daily volume so as not to pressure the market, it would take you 60 days to trade out of your position. The same 5% position in Canopy Growth would only take two days to trade out of. Most of the U.S. companies on the graph are better investments in our view than Canopy Growth; however, the tremendous illiquidity of these stocks would have to give us pause.

 

Trading liquidity inhibits capital formation because institutional investors do not want to be locked into their investments, unable to trade or exit. Significantly increased liquidity through up-listing to senior exchanges would attract incremental institutional investment that would not otherwise come into cannabis.

 

We think the completion of rescheduling will be tremendously positive for the industry, not only for better tax treatment, but also because legitimizing the medical uses of cannabis will help advance the next key regulatory reform measure, the SAFER Act. The SAFER Act would eventually lead to up-listing possibilities as banks become emboldened to custody stocks and trading liquidity rises to the point that Nasdaq notices.

 

The two key measures of rescheduling and SAFER will together allow new institutional capital into cannabis.
